Mohsen Manesh is the Mr. & Mrs. L.L. Stewart Professor of Business Law at the University of Oregon School of Law, where he serves as Associate Dean of Faculty Research & Programs and Faculty Director of the Portland Program. His scholarship focuses on corporate law, contract law, and LLC governance, with a particular emphasis on Delaware law and fiduciary principles.

- JD: magna cum laude (Georgetown University), Order of the Coif
His research explores contractual freedom in corporate law, the internal affairs doctrine, shareholder arbitration, and the interplay between fiduciary duties and unincorporated entities. His work has been cited in leading casebooks and over 40 court decisions, including the U.S. Courts of Appeals and Delaware Supreme Court.
Recent publications analyze shareholder proposal governance, Revlon doctrine evolution, and judicial power expansion in Delaware. He has co-authored several influential papers with Joseph A. Grundfest on corporate arbitration and shareholder litigation.

At Oregon Law, he teaches corporations, LLCs, securities regulation, contracts, and mergers & acquisitions, while leading the Portland Program’s third-year JD experiential learning initiative.
