Elizabeth Miller is a Professor of Law and M. Stephen and Alyce A. Beard Chair in Business and Transactional Law at Baylor Law School, Baylor University. She is the foremost authority on Texas business organizations law and a nationally recognized expert on LLCs and LLPs. Professor Miller has extensive experience drafting legislation and model agreements, serving on editorial boards for ABA committees.
She earned her J.D. with highest honors from Baylor Law (class valedictorian) and B.A. summa cum laude from Baylor University. She received the highest Texas bar exam score in July 1985 and served as Editor-in-Chief of the Baylor Law Review.
Her research focuses on corporate governance, partnership structures, and unincorporated business entities. She examines legal frameworks for LLCs/LLPs, legislative drafting techniques, and judicial interpretations of business organization laws. Recent work analyzes fiduciary duties, shareholder oppression remedies, and practical applications of entity governance.
Publications demonstrate consistent focus on business entity law evolution, particularly annual case law surveys tracking jurisprudential developments in Texas partnerships and LLCs since 2014. Her scholarship combines practical drafting guidance with analytical assessments of emerging legal challenges.
