Tomer Stein is an Assistant Professor of Law and CGC Research Fellow at the Winston College of Law, University of Houston. He is affiliated with the Neel Corporate Governance Center, focusing on corporate law, governance, and business associations. Prior to academia, he practiced corporate law at a New York-based international firm and advised on capital markets, securities, and corporate governance transactions. He holds a J.D. from the University of Texas School of Law and a B.A. from the University of Wisconsin-Madison, and served as a foreign law clerk to Justice Isaac Amit of Israel’s Supreme Court. His expertise includes board dynamics, shareholder activism, and the intersection of corporate law with constitutional and financial frameworks.
Research interests revolve around corporate governance structures, judicial review in private governance, and the evolving role of corporate law in multistate and cross-border contexts. His work bridges legal theory and practice, addressing issues like amicus lobbying’s impact on business law development and specialized corporate courts' roles. Recent publications explore topics such as ownership-control dynamics, debt as a governance tool, and constitutional interpretations of financial terms.
Professor Stein’s academic contributions reflect a commitment to advancing understanding of corporate law’s foundational principles and their application in complex transactions. He regularly engages with industry and academic conferences, emphasizing practical insights from his legal practice experience.
