Michael Klausner is the Nancy and Charles Munger Professor of Business and Professor of Law at Stanford Law School. He specializes in corporate law, corporate governance, securities regulation, and financial regulation. His research focuses on empirical and theoretical analyses of governance structures, liability risks, and securities litigation. He co-directs the Stanford Securities Litigation Analytics (SSLA) project, maintaining a database on securities class actions and SEC enforcement actions.
Education: BA in Economics from the University of Pennsylvania (1976), MA in Economics (1981) and JD (1981) from Yale University. He clerked for Justice William Brennan and Judge David Bazelon.
Research Interests: Klausner’s work examines corporate governance weaknesses, SPACs, and contractual standardization. Recent publications include Deals: The Economic Structure of Business Transactions (Harvard University Press, 2023) and articles on SPAC dilution and securities litigation trends. His research bridges legal, economic, and regulatory dimensions of corporate practices.
Affiliations: Arthur and Toni Rembe Rock Center for Corporate Governance, John M. Olin Program in Law and Economics. Teaches courses like Corporations, Deals I/II, and Global Business Law.
Labs/Teams: Leads SSLA and collaborates with the Directors' Consortium (Stanford Law and Graduate School of Business). Advises the American Law Institute on nonprofit law principles.
