Pearlie KOH

Pearlie KOH is an Associate Professor of Law at the Yong Pung How School of Law, Singapore Management University (SMU), where she has served since 2001. She holds an LL.M. from the University of Melbourne (1995) and an LL.B. from the National University of Singapore (1989), and is an Advocate and Solicitor in Singapore since 1990. Her research focuses on Corporate Law, Company Law, Private Law, and Contract Law, with a particular emphasis on legal theory, ethics in legal education, and empirical legal studies. She has contributed extensively to academic literature, including seminal works like A Casebook on Company Law and Company Law. Her work explores modern challenges such as shareholder empowerment in the digital age, corporate sustainability in Asia, and the evolving duties of directors.

Dr. Koh has held leadership roles at SMU, including Director of Continuing Legal Education (2012–2018) and Associate Dean (Research) (2006–2008). Prior to SMU, she served at Nanyang Technological University in academic and administrative roles. Her publications reflect a commitment to bridging legal theory with practical corporate governance issues, including pandemic-related stakeholder obligations and cross-border ASEAN legal frameworks.

Her research spans critical areas such as agency law, derivative actions, and corporate liability. Notable projects include analyses of digital revolution impacts on shareholder rights and the legal implications of holding company structures. She teaches courses on Corporate Law and Company Law at SMU, integrating her research insights into pedagogy.
