Bebchuk's research critically examines corporate governance through interdisciplinary law-finance lenses, with seminal contributions to understanding corporate acquisitions, reorganization mechanics, contractual freedom frameworks, and regulatory competition dynamics. His work extends to property law economics and litigation/settlement strategies, consistently challenging conventional paradigms in capital markets regulation.
Recent publications reveal a concentrated critique of stakeholder capitalism movements, analyzing ESG compensation pitfalls, pandemic-era corporate purpose conflicts, and the destabilizing influence of concentrated institutional investors like index funds. His scholarship consistently questions whether stakeholder-oriented models deliver tangible value beyond shareholder primacy frameworks.
