Marco Ventoruzzo

Marco Ventoruzzo is a Full Professor of Corporate Law and Financial Markets Regulation at Università Commerciale L. Bocconi in Milan. He previously served as Full Professor of Business Law at Penn State Law School, USA, and as Director of the Max Planck Institute of Luxembourg. From 2016 to 2022, he was Head of the Department of Legal Studies ("Angelo Sraffa") at Bocconi University. His research focuses on corporate governance, securities regulation, and financial structures, with notable contributions to voting rights analysis and cross-jurisdictional corporate law comparisons.

He is a Research Associate of the European Corporate Governance Institute (ECGI) and has held visiting professorships at institutions including Fudan University (Shanghai), Hamburg Law School, and Esade Law School (Barcelona). Ventoruzzo sits on the editorial boards of leading journals such as the European Company and Financial Law Review and the Oxford Journal of Financial Regulation. He also serves on COMI, the Italian Financial Supervisor's expert advisory committee.

His publications span topics like dissenting directors' liability, historical evolution of Italian corporate law, and regulatory responses to corporate restructuring. Recent work addresses tensions between financial market abuse rules and human rights, particularly in transatlantic legal contexts.
