Jan Andersson

Jan Andersson is a Professor in Private Law, specializing in Business Organizations, at Stockholm University. He holds a Juris Doctor from Uppsala University (1995) and has served as Associate Professor (1998) and Professor (2000) at Uppsala University and the University of Bergen, respectively. He was a Professor in Commercial Law at Jönköping International Business School (2007-2010) and retains an adjunct professorship there. His academic career spans over two decades, with current focus on Swedish and international corporate law, governance, and securities regulation.

Research Interests: Andersson’s work centers on profit and non-profit organizations, corporate governance, and the intersection of Law & Economics with corporate law. He explores securities law, particularly liability for misleading information, economic theories tied to firm structures, and legal frameworks for business organizations. He has contributed extensively to the European Model Companies Act (EMCA) since 2014, aiming to harmonize corporate legislation across EU member states.

Publications & Conferences: His recent works include analyses of capital protection in corporations (2020), legislative challenges in insurance law (2019), and shareholder exit mechanisms (2017). He has presented at international conferences in Krakow, Shanghai, and Frankfurt (2019). His articles address SME regulation, mutual insurance companies, and shareholder protections, reflecting his expertise in corporate law design and implementation.

Teaching & Supervision: Andersson teaches elective courses in Corporation Law and Securities Market Law, and supervises Master’s theses. His academic contributions are documented in publications across journals like European Business Law Review and Juridisk Tidskrift.
