Ann M. Lipton is the Michael M. Fleishman Professor in Business Law and Entrepreneurship and Associate Dean for Faculty Research at Tulane University Law School. She holds a JD from Harvard Law School and an AB from Stanford University. Her research focuses on corporate governance, securities regulation, and the role of corporations in society, with particular emphasis on ESG, shareholder rights, and stakeholder disclosure. Lipton has authored numerous articles in top legal journals and co-authored the Securities Regulation: Cases and Materials casebook. She has received awards including the 2021 Felix Frankfurter Award for Distinguished Teaching and was named a New Orleans CityBusiness Leader in Law in 2023.
Her academic career includes visiting appointments at Duke Law and adjunct roles at Cardozo Law. She has clerked for U.S. Supreme Court Justice David Souter and served at the SEC. Lipton’s work frequently engages with current legal debates, such as corporate governance challenges, ESG integration, and shareholder litigation strategies. Her recent scholarship critiques shareholder primacy and advocates for broader stakeholder accountability frameworks.
Publications highlight her expertise in corporate law, including critiques of arbitration clauses, mandatory stakeholder disclosure, and the evolving role of Delaware’s corporate governance framework.
