Mark Underberg

Mark Underberg is an Adjunct Professor of Law at Cornell Law School. He has practiced corporate law for nearly 30 years, specializing in mergers and acquisitions, corporate governance, disclosure, and securities and capital market transactions.

• Former partner at Paul, Weiss, Rifkind, Wharton & Garrison (until 2012)
• Co-chaired the firm’s Corporate Governance Group
• Chaired Professional Development and Training Department at Paul Weiss
• Active in corporate pro bono initiatives and served on non-profit boards

Research interests include corporate governance frameworks, regulatory compliance in capital markets, and transactional legal strategies for corporate restructuring.
